WOODMONT LADIES GOLF ASSOCIATION

BY-LAWS

 

 

ORGANIZATION

ARTICLE I

The name of the organization shall be the Woodmont Ladies Golf Association (WLGA).

 

ARTICLE II

The object of this organization shall be to promote and enjoy the game of golf among female golfers at the Woodmont Golf and Country Club (the Club) and to promote participation in Club events.

 

ARTILE III

All play shall be governed by local and United States Golf Association rules.

 

ARTICLE IV

The WLGA will function in accordance with the practices instituted by the Woodmont Golf and Country Club in Canton, Georgia.

 

ARTICLE V

The fiscal year shall be the first day of January through the last day of December.

 

MEMBERSHIP

ARTICLE VI

Section 1:  The number of members shall be left to the discretion of the Board of Directors (the Board).  Members of the WLGA who are also members in good standing of the Club shall be considered Full Members upon application and payment of dues, and will be eligible for election to the Board.  Any WLGA member who is not a member in good standing of the Club will have her WLGA membership revoked and her membership will not be reinstated until her membership with the Club is back in good standing.

 

Section 2:  Members of good standing, who continue to meet the membership requirements, are automatically entitled to membership for the ensuing year provided their annual Membership dues are paid.

 

Section 3:  Any member may be expelled from the WLGA by a simple majority vote of the Board if it appears that her conduct has, or will endanger the good name and character of the WLGA or its reputation.  No vote shall be taken until five (5) days after written notice has been given to the member, who shall have the privilege of appearing before the Board in her defense.  She will be allowed to have a member in good standing appear with her on her behalf.

 

ARTICLE VII

Each member shall pay annual dues as determined by the Board.  Dues are to be paid on or before a date specified by the Board.  Dues will be based on a reasonable annual budget reviewed by the Board each year.  Funds may be retained each year to cover expenses incurred prior to the collection of membership dues and to cover possible bank fees.  There will be a pro-rata of 50% of dues for new members joining after July 15th.

 

ARTICLE VIII

All new membership candidates shall complete an application.  The minimum age for membership shall be eighteen (18) years at entry.

 

ARTICLE IX

Section 1:  To participate in WLGA sponsored tournaments, players must be WLGA members in good standing.  Players must have played a minimum number of play days with their respective league (9 or 18 hole) to be eligible to play in the WLGA Classic Tournament only. The minimum number of play days in each league will be five (5) days, unless otherwise set by the Board at the beginning of the season.

 

Section 2:  All WLGA tournaments will be limited to a max handicap of 45. Handicaps used in WLGA team tournaments shall be set in accordance with the United States Golf Association (USGA) Handicap Manual.

 

BOARD OF DIRECTORS

ARTICLE X

The Board of Directors shall consist of:  President, Vice President, Secretary, Treasurer, Play Day Coordinators – 18 and 9 Hole, Tournament Chair, and Membership Chair.  Board members may serve three (3) consecutive one-year terms, but must wait a year before being eligible for re-election.  However, a Board member may serve an additional year if the Nominating Committee is unable to find a replacement candidate.  The Board shall have the management and control of the affairs of the organization, approve the members thereof, and enforce all the Articles of the By-Laws.  Specific duties of the Board will be contained in the “Woodmont Ladies Golf Association Board of Directors Policies” document.

 

ARTICLE XI

The Board shall meet monthly plus any special meetings called by the President.  The Board shall conduct their meetings following “Roberts Rules of Order”.  Any Director that shall be absent from two (2) consecutive meetings of the Board, without proper notification and good reason approved by the Board, shall be automatically relieved of her office and her place filled by someone who will be appointed by the Board for the balance of the term.  The Secretary shall make known at regular Board meetings any Director who has missed two (2) consecutive meetings.  Actions must be taken before adjournment.

 

Section1:  The Board shall appoint a replacement for a resigned Board member for the balance of her term.

 

Section 2:  Board members who continually neglect their appointed duties and their Responsibilities without valid reason shall be removed from the Board by a two-thirds vote of the Board.

 

ARTICLE XII

The election of the Board shall be conducted at the end of the year general membership meeting.  Each year the Board will designate a nominating committee that will assist in recruiting and soliciting new Board members.

 

GENERAL STIPULATIONS

ARTICLE XIII

Any member having suggestions or complaints as to the management of the WLGA must do so in writing to the Board.

 

ARTICLE XIV

Section 1:  All amendments and revisions to the By-Laws and amendments of the organization shall be proposed by the Board and shall be voted on only by the general membership.

 

Section 2:  All amendments or revisions will become effective only after they have been approved by two-thirds vote of the membership in attendance and shall be enacted within thirty (30) days after approval.

 

ARTICLE XV

Hole in One Club:  All WLGA members are automatically part of the WLGA Hole in One Club, effective from when dues are paid, and effective for a full year when dues are to be renewed.  If a WLGA member gets a hole in one that meets the criteria in the WLGA Hole-In-One Policy document, all WLGA members will be charged $5.00 to their Woodmont account and all funds will be credited to the member who got the hole in one, in the form of Pro Shop Credit.
